1. Acceptance of Terms

By accessing or using AuditDraft ("the Service"), operated by Omen Systems ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including visitors, registered users, and paying subscribers.

2. Description of Service

AuditDraft is a software-as-a-service platform that assists organizations in generating, managing, and tracking AI compliance documentation. The Service includes AI-powered document generation, EU AI Act risk classification, compliance tracking, and knowledge base tools. The Service is provided as an aid and does not constitute legal advice.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. You must be at least 18 years old to use the Service. One person or legal entity may maintain no more than one free account.

4. Subscription and Payment

Paid plans are billed monthly or annually in advance. Prices are in USD and exclude applicable taxes. You authorize us to charge your payment method on a recurring basis. Failed payments will result in a 7-day grace period, followed by downgrade to read-only mode. After 30 days of non-payment, accounts may be suspended. After 90 days, data may be permanently deleted. Refunds are available pro-rated within the first 30 days. No refunds after 30 days.

5. Acceptable Use

You agree not to use the Service to: (a) generate fraudulent compliance documentation; (b) misrepresent AI system capabilities or compliance status to regulators; (c) violate any applicable law or regulation; (d) infringe upon intellectual property rights; (e) upload malicious content or attempt to compromise system security; (f) resell or redistribute the Service without authorization. 6. Intellectual Property

You retain ownership of content you create using the Service. We retain ownership of the Service, its software, design, and documentation. AI-generated content is provided for your use but should be reviewed and customized for accuracy. Templates and example documents remain our property.

7. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We are not responsible for regulatory penalties, fines, or adverse outcomes resulting from reliance on AI-generated documentation. The Service does not constitute legal advice. You should consult qualified legal professionals for compliance decisions. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy. We use third-party services including Convex (database), Google (Gemini AI), and Vercel (hosting). Your data is processed in accordance with GDPR requirements.

9. Termination

Either party may terminate at any time. Upon termination, you may export your data within 30 days. After the 30-day grace period, your data will be permanently deleted. We reserve the right to suspend or terminate accounts that violate these terms without notice.

10. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use after changes constitutes acceptance.

11. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration.
